Restricted Stock Service (RSS) works with clients who hold restricted or control stock subject to Rule 144 requirements. We assist clients, primarily corporate insiders and affiliates, with transacting their restricted or control stock, completing the proper paperwork and forms, filing with the SEC, and answering questions regarding the regulations. We also provide services such as 10b5-1 trading plan management, Sarbanes-Oxley two-day reporting, and stock option exercises.
What you'll do:
- Review and adjust DTC breaks
- Process restricted stock journal, and box movements
- Coordinate with issuer's counsel and transfer agents on the client's behalf
- Submit transfer instructions to DTCC to clear restricted stock transactions
- Monitor and follow up on outstanding transfers
What you have
To ensure that we fulfill our promise of "challenging the status quo," this role has specific qualifications that successful candidates should have.
Required Qualifications:
- 3 to 4 years of experience in an operations support function supporting high-net-worth clients
- General knowledge of securities transfer and SEC regulations surrounding restricted stock transactions
Preferred Qualifications:
- Much be detail-oriented, flexible and able to work in a fast-paced team environment
- Familiarity with Microsoft office (including Excel, Word and power Point)
- Ability to work independently and manage daily workload
- Effective research and problem-solving skills to exercise sound judgment with decision making
- Strong verbal and written communication skills for interaction with internal and external business partners
- Series 7 licenses preferred
In addition to the salary range, this role is also eligible for bonus or incentive opportunities
