The Corporate Actions organization is responsible for the payment processing, and reconciliation of Mandatory Corporate Actions and Distributions across Custody and Asset Services. This role provides senior leadership and governance over high-volume, high-risk financial events, ensuring accuracy, timeliness, regulatory compliance, and protection of client and firm assets. Role Summary

We're looking for a highly experienced and Director, Corporate Actions – Mandatory & Distributions to lead a critical team within our organization. In this role, you’ll be accountable for ownership of accurate and timely processing and reconciliation of high-volume, high-risk payments related to mandatory and distribution corporate action payments. This role provides strategic leadership, operational oversight, and risk management across complex processing environments, while developing high-performing leadership teams with 35-50 direct reports. Your expertise in risk mitigation and oversight across the entire payment lifecycle will be crucial for success. Strong relationship-building skills are also key, as you'll regularly collaborate with internal business partners, custodians, agents, and external vendors.

Key Responsibilities

  • Provide executive oversight of Mandatory Corporate Actions and Distributions, including dividends, interest, redemptions, calls, and reorganizations.
  • Own payment execution and reconciliation functions, ensuring accurate entitlement calculations and timely resolution of cash and position breaks.
  • Establish and maintain strong governance, controls, and escalation frameworks to mitigate financial and operational risk.
  • Partner with Risk, Finance, Technology, Legal, and Audit to ensure regulatory compliance and audit readiness.
  • Lead and develop managers and teams, fostering accountability, engagement, and operational excellence.
  • Serve as an escalation point during market events, exceptions, or vendor-related issues.
  • Transformation & Process Improvement: Identify opportunities for process enhancements and efficiencies within corporate actions and payment processing workflows. Proven ability to influence people and champion firm and department initiatives that influence the team to embrace changes and successfully achieve goals.
  • Employee Engagement: Drive initiatives to maintain high levels of employee engagement, motivation, and retention within the team.

What you have


  • 10+ years of experience in Operations, Corporate Actions, Asset Servicing, Payments, or Reconciliations.
  • Demonstrated senior leadership experience managing leaders and large operational teams.
  • Deep understanding of Mandatory Corporate Actions and distribution payment lifecycles.
  • Strong risk management, control, and governance expertise in a high-volume environment.
  • Excellent communication and stakeholder management skills.
